Order of Office of the Central Partnerships and Companies Registration No. 66, issued in 2015
To make the Registration and Capital Increase of Partnerships and Limited Companies with high capital accurate according to the facts as request for the Registration
By virtue of the provisions of Section 3, Paragraph Three of the Ministerial Regulation of Establishing Office of Partnerships and Companies Registration, Appointing the Registrar and Prescribing Rules and Procedures for Registration of Partnerships and Limited Companies B.E. 2549 (A.D. 2006) issued under the Civil and Commercial Code Law. Thus, the Central Registrar has ordered as follows:
1. To revoke Order of the Central Partnerships and Companies Registration No. 13, issued in 2015 on the subject of the Rules and Documents for Registration and Capital Increase of Partnerships and Limited Companies signed on 30 January 2015.
2. In case that the Registration of Partnerships and Limited Companies that have the registered capital of more than 5,000,000 Baht (Five Million Baht) or in case that the registered capital of Partnerships and Limited Companies is increased to over 5,000,000 Baht (Five Million Baht) shall submit the supporting documents as required by the rules of Office of the Central Partnerships and Companies Registration, regarding to the Registration of Partnerships and Limited Companies B.E. 2554 (A.D. 2006) and additional documents as follows:
(1) Registration of Establishment of Partnerships and Limited Companies
(1.1) In case that the share payment is made by Cash, the Registrant shall submit the receipt that is issued by the Commercial Bank to certify or show that any Managing Partners or Authorized Directors receive the share payment or money for the shares as the amount that is paid, along with the Request Form for the Registration.
Once the Registrar accepts the Registration, then the Registrant shall submit the receipt said above within 15 days after the date of accepting the Registration by the Registrar.
(1.2) In case that the share payment is made by Properties, then the property’s owner shall issue the consent letter indicate that will transfer the ownership of the properties to the Partnerships and Limited Companies or the consent letter indicates that will give the right to the Partnerships to use the properties. The Registrant shall submit the consent letter along with the Request Form for the Registration.
Once the Registrar accepts the Registration, the Registrant shall submit the following documents within 90 days after the date of accepting the Registration by the Registrar.
(a) For immovable properties or registered properties, shall submit a copy of certification that show that the Partnerships and Limited Company have the right to the ownership.
(b) For other properties, shall submit the copy of transaction and value of properties that will be in the investment.
(c) For the properties that the partners pay as the share payment to the Partnerships, shall submit the consent agreement to use the properties.
(2) Registration of Capital Increase of Partnerships and Limited Companies
(2.1) In case that the share payment is made by Cash, the Registrant shall submit the receipt that is issued by the Commercial Bank to certify or show that Partnerships and Limited Companies receive the share payment or money for the shares.
(2.2) In case that the share payment is made by Properties, the Registrant shall submit the receipt of the share payment with the following documents,
(a) For immovable properties or registered properties, shall submit the copy of certification that show that the Partnership and Limited Company have the right to the ownership.
(b) For other properties, shall submit the copy of transaction and value of properties that will be in the investment.
(c) For the properties that the partners pay as the share payment to the Partnerships, shall submit the consent agreement to use the properties.
The documents as Article (2.1) and (2.2), shall submit with the Request Form for the Registration
1. In case that the Partnerships and Limited Companies does not submit the supporting documents to the Registrar within the date as Article 2 (1) (1.1) and (1.2) may cause the repealing the Request for the Registration by the Register
2. Any Request Form for the Registration that are filed before this order is granted, shall follow the Order that obligates at the time of filing those Request Form for the Registration
However, starting from 1 April 2015.
